Job purpose

EY are market leaders in providing multi-disciplinary services to Multinational companies. One of the service offerings under Global compliance and reporting includes providing assistance to MNE’s in managing their global legal entity structures.

To provide this service EY have established an APAC support office in our Manila Global Delivery Services (GDS) to help deliver this service globally.

The role will involve working with a team that oversees various aspects of the outsourced legal compliance activities and providing support on various aspects of the outsourced legal compliance engagements.

Job Role

This role within the Entity Compliance & Governance practice in EY is to support our APAC network based out of our Manila Office.

The role requires the individual to :

oWork with the team leader in Manila and with client facing team members across APAC to deliver large multi-national compliance engagements

oDemonstrate project management ability in managing engagements and projects in a virtual environment

Key Responsibilities

In order to be successful, the candidate should be able to demonstrate an ability to learn quickly and have an interest in company law compliance.

They will be expected to undertake training in the areas given below :

oUnderstanding of formal documentation requirements for :

  • Annual General or Shareholder meetings;
  • Board of directors meetings;
  • Appointment and resignation of officers;
  • Changes in Capital structure;
  • Approval of Share transfers;
  • o Understanding of formal documents for :

    Annual Return completion

    Incorporation of new entities

    Advice of change of Directors

    Advice of change of registered office

    Advice of change in capital

  • o Sending out notices, such as for Annual General, Special or Extraordinary meetings;
  • Drafting of corporate documents related to decision taken in Board, General Assembly

    and similar meetings (such as certificate of approval, agreement of dividend distribution,

    Etc.)

    o An understanding of formal legal requirements fordocument execution, legalization and notarization
