Map out the legal strategy for the local CPO vis-à-vis its operating model, business plans and business strategy, particularly, but not limited to the areas of Intellectual Property, BD&L, Contracts Management, Labor and Employment, Data Privacy, Anti-
Competition, Litigation and other relevant legal areas.
Sits in the Country Executive Committee to provide strategic legal advice & guidance to the executive team across the divisions
MOnitor & influence legal developments; ensure that the business considers legal trends in the business strategy
Represent Novartis Legal to outside stakeholders, I.e. the government and industry associations.
Anticipate, identify & analyze legal issues and develop legal strategy and solutions. Draft key documents and present clear recommendations ensuring legal compliance.
Draft all kinds of contracts, legal SOP and other related documents. Monitor Contract Management Procedure and maintain validity and enforcement.
Ensure the Country President, CFO, Compliance Officer, Division Heads, BU / Function Heads and other Managers are kept abreast of relevant legal developments and issues related to business development, taxation, labor, customs, intellectual property, corporate governance, contracting, etc.
Manage legal issues related to business development, alliance management, litigation, corporate governance, and labor law.
Analyze broad range of complex laws and regulations affecting the entities. Draft and review policies and procedures, resolutions and other documents related to local governance, regulatory compliance and internal policies
Provide legal support in negotiations for agreements for Novartis Philippines, i.e., distribution agreements, licensing agreements, promotion agreements, etc.
In collaboration with the Novartis IP functions, provide legal support in conducting a risk assessment regarding IP protection and the enforcement and defense of Novartis IP in the Philippines
Continually provide advice and guidance to the business on legal topics and challenges
Advice country management on legal related topics and legal aspects of major initiatives
Actively engage in industry associations and other legal related stakeholder groups, including government agencies such as Intellectual Property Office, the Department of Labor, etc.
